Mr Jennings, 25, a sales manager from Bibury, died after being assaulted in the Market Place, Cirencester, on June 27.
He was left in a coma with serious head injuries and died following surgery in the early hours of July 2 at Bristol's Frenchay Hospital.
Legg, 18, and Hayward-Wright, 18, who are both from Cirencester, appeared at Bristol Crown Court on Monday morning.
No formal pleas were entered but Charles Row, representing Hayward-Wright, indicated that his client would plead not guilty to the offence.
The case was adjourned to December 16 for a further plea and case management hearing.
Hayward-Wright was given conditional bail while Legg was remanded in custody.
